Position Overview:
As the Associate General Counsel, reporting directly to the General Counsel, you will play a vital role in delivering strategic legal counsel across corporate, healthcare regulatory, and various operational functions. This position serves as a trusted advisor to senior leadership and necessitates a business-oriented approach to legal support across multiple areas, including leading corporate governance and securities matters, as well as advising on compliance, employment, and other legal issues.
Key Responsibilities:
Corporate Governance/SEC:
- Oversee SEC compliance, manage corporate attorney activities, facilitate the drafting and filing of SEC disclosures, and advocate for corporate governance best practices while providing support for board and committee activities as necessary. Ensure adherence to Regulation FD and Nasdaq regulations, including the insider trading policy.
Healthcare Regulatory & Compliance:
- Provide counsel regarding FDA, OIG, CMS, and other federal and state regulations, including data privacy laws such as HIPAA. Advise on healthcare professional engagement, promotion, and market access, offering practical and compliant solutions aligned with business strategies.
Employment:
- Advise on employment law matters, draft and review employment agreements and policies, and support Compensation Committee functions as required.
Operations:
- Participate in implementing efficient processes, controls, and legal department automation, and assist with additional duties as necessary.
Management:
- Collaborate across departments to achieve business objectives, mentor colleagues, and demonstrate strong interpersonal and time management skills.
