About the Role:
We are looking for a proficient Investment Funds Attorney to join our dynamic investment funds practice. This role encompasses advising fund sponsors, managers, and investment platforms on the creation, structuring, and operational management of private and public investment funds across diverse asset classes. The successful candidate will collaborate with partners and clients on fund formation, regulatory compliance, and investor documentation, while gaining a comprehensive understanding of client objectives and market trends. This position promises significant client interaction, sophisticated legal challenges, and opportunities for professional growth within a collaborative and high-achieving legal team.
What You’ll Do:
Oversee the creation and structuring of investment funds, including venture capital funds, private equity funds, real estate funds, hedge funds, special purpose vehicles (SPVs), co-investment vehicles, parallel funds, management companies, general partners (GPs), and related entities. Draft, review, and negotiate essential fund documents such as limited partnership agreements (LPAs), private placement memoranda (PPMs), subscription agreements, side letters, and management/advisory/service agreements.
Provide advice on fund economics and governance, including carry structures, waterfalls, GP commitments, and decision-making rights, in collaboration with tax, finance, and investment teams.
Manage securities and regulatory filings, including Form D and Blue Sky/state filings, while supporting other SEC-related obligations for fund offerings.
Design and implement compliance frameworks and policies for marketing, allocations, co-investments, conflicts, and other fund activities.
Offer daily legal support for fund operations, which includes capital calls, distributions, LP consents, transfers, secondaries, and amendments.
Assist investor relations by reviewing communications, addressing LP inquiries regarding terms and rights, and coordinating side letters.
