Job Brief:
Join our vibrant real estate team in the MEA region as a Corporate Lawyer. We are looking for a highly qualified professional to deliver expert legal counsel and transactional support primarily focused on our operations in KSA. This pivotal role involves ensuring compliance with relevant laws and regulations, facilitating corporate governance, and managing risk. Bilingual proficiency in Arabic and English is a must.
Your Responsibilities:
- Commercial Contracts: Draft, review, and negotiate a variety of commercial agreements including service agreements, licensing arrangements, consultancy agreements, Non-Disclosure Agreements (NDAs), and Memoranda of Understanding (MOUs).
- Transaction Management: Oversee and coordinate transactions such as mergers and acquisitions (M&A) and joint ventures, managing them through all stages. Engage with internal stakeholders and external counsel, assist in due diligence, structure transactions, and draft and negotiate essential documents like share purchase agreements, asset purchase agreements, and shareholders' agreements.
- Corporate Structuring & Governance: Offer strategic advice on corporate restructuring and ensure compliance with regulatory requirements.
- Legal Advisory: Remain informed about changes in laws and regulations that could affect the company's operations, proactively advising management on potential legal risks and implications.
- Research: Conduct in-depth legal research and support the legal team by reviewing regulations related to rental laws, corporate governance, compliance, labor laws, and more.
- Representation: Negotiate and communicate with external parties (regulators, tenants, and partners) to foster trust-based relationships.
- Company Secretarial Support: Assist with documentation related to company secretarial functions, including Powers of Attorney (POAs) and resolutions.
