Position Overview
In the role of Manager - Legal (Company Secretary & Contracting), you will collaborate closely with the General Legal Counsel and senior leadership to oversee SaaS contracts, ensure compliance with healthcare regulations, and uphold corporate governance standards. You will be instrumental in supporting our global commercial operations while maintaining strict legal and secretarial compliance.
Key Responsibilities
- Negotiate sales contracts with U.S. clients, including healthcare providers, payers, and pharmaceutical companies.
- Engage in complex negotiations for procurement and partnership contracts with U.S. entities.
- Manage procurement contracts with Indian vendors.
- Provide legal insights on company policies and operational processes.
- Conduct regulatory research and ensure compliance.
- Coordinate with external counsel on contracts, compliance issues, disputes, and intellectual property matters.
- Streamline efficiency in legal processes and contracting.
- Oversee end-to-end company secretarial functions, including agenda preparation, notices, resolutions, and minutes.
- Ensure timely filings and compliance with the Companies Act, 2013.
- Maintain statutory registers, records, and corporate documentation.
- Advise the Board and management on corporate governance and regulatory requirements.
- Support and draft documentation for fundraising, ESOPs, share issuances, and shareholder matters.
Qualifications
Essential Qualifications
- Proven experience in drafting and negotiating IT contracts, including software licenses and SaaS agreements for U.S. clients.
- Experience in the healthcare or pharmaceuticals sector is highly preferred.
- Strong understanding of healthcare regulations, data protection laws, and compliance frameworks.
- Background in legal research, regulatory compliance, and risk assessment.
- LL.B. degree from a recognized institution.
- Qualified Company Secretary (CS) and a member of ICSI.
- 7-8 years of relevant work experience.
