iCapital Network is seeking a dynamic and experienced legal professional to serve as the Head of Legal for Structured Investments and Annuities, stepping into a pivotal role within our esteemed Legal team. The ideal candidate will be a seasoned attorney with extensive experience in financial products, particularly structured investments and annuities, coupled with a robust understanding of the relevant laws, regulations, and industry standards. This position will involve close collaboration with the firm’s senior management and key stakeholders in our structured investments and annuities business lines, as well as fellow attorneys within our Legal and Compliance departments.
Responsibilities
- Function as the general counsel for our structured investments and annuities sectors, providing primary legal counsel on all regulatory and legal matters, including strategic firm-wide initiatives related to our web-based platform, structured investments distribution, broker-dealer operations, and global product expansion.
- Act as a senior advisor to the firm’s leadership team, including the Head of Structured Products and Annuities, CFO, General Counsel, and business teams on complex commercial, regulatory, and legal issues.
- Lead and manage a team of attorneys dedicated to delivering legal and regulatory support for our structured investments platform and annuities business, ensuring efficiency and cost-effectiveness, while overseeing outside counsel as needed.
- Negotiate and manage high-stakes commercial agreements with counterparties and clients, including issuers of structured investment and annuity products, and financial institutions utilizing iCapital's offerings.
- Champion the modernization of internal legal processes to enhance efficiency and align with firm-wide transformation goals.
Qualifications
- A minimum of 10 years of legal experience within a prestigious law firm or in-house at a broker-dealer or financial technology firm, with a proven track record of managing other attorneys.
- In-depth knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and FINRA rules.
- Familiarity with applicable insurance regulations is advantageous.
- Proven experience negotiating complex commercial agreements with high-profile clients and counterparts.
- Exceptional leadership and interpersonal skills.
