The company is experiencing rapid growth and operates within a high-risk fintech environment, necessitating prompt legal support, precision, and collaboration with international partners.
We are seeking a Mid-Level Legal Counsel to manage operational legal tasks and assist the Head of Legal in enhancing our legal framework.
Key Mission of the Role
Provide legal oversight for the company's payment infrastructure, which includes contracts, corporate processes, PSP/banking onboarding, preparing documents for regulatory audits, and liaising with external advisors.
This role focuses on operational work without the need to independently handle intricate licensing projects. You will work closely with the Head of Legal, who will set the strategic direction.
Main Responsibilities
1. Contract and Agreement Management
Drafting and analyzing contracts including partnership/referral agreements, PSP agreements, SaaS/licensing agreements, NDAs, MSAs, and DPAs.
Negotiating terms with counterparties.
Creating templates and standard clauses for internal processes.
2. Corporate and Legal Processes
Assisting in the registration of legal entities in various jurisdictions (EU, UK, Malta, etc.).
Preparing documents for opening bank, PSP/EMI, and merchant accounts.
Collaborating with corporate service providers and external legal counsel.
3. Compliance & Regulatory Support
Participating in KYC/KYB onboarding processes for banks and payment systems.
Preparing legal packages for compliance reviews.
Identifying legal risks and assisting in their mitigation.
Supporting internal policies (AML/KYC/Compliance).
4. Licensing Projects
Assisting in the preparation of documents for licensing processes (FCA, MFSA, and others).
Working with consulting firms and external advisors.
