We are seeking a Senior Associate General Counsel to join our Franchise Brands Legal Department at Compass International Holdings, which oversees renowned franchises such as Better Homes and Garden® Real Estate, CENTURY 21®, Coldwell Banker®, Coldwell Banker Commercial®, Corcoran®, Christie’s International Real Estate, ERA®, Sotheby’s International Realty®, and @properties®.
This position requires full onsite presence in our offices located in NYC, Madison (NJ), Los Angeles, or San Francisco.
The Senior Associate General Counsel will be instrumental in reviewing, drafting, negotiating, and advising our franchised brands on matters related to franchise sales and renewals, amendments to existing agreements, compliance with ongoing rights and obligations, new product development, marketing initiatives, vendor contracts, franchisee disputes, and compliance issues, alongside providing strategic guidance to senior management.
This role will collaborate closely with shared service departments that support our franchise brands, including Franchise Sales, Franchise Enablement, Finance, Human Resources, Compliance, and Cross-Brand Marketing.
Additionally, the position will liaise with corporate legal teams focusing on Litigation, IT, Intellectual Property, and Employment Law.
Key Responsibilities:
- Drafting and negotiating franchise agreements and related documents to support business growth and retention objectives.
- Negotiating vendor contracts, ideally with some experience in Software as a Service (SaaS) and Information Technology.
- Reviewing marketing materials to ensure legal compliance.
- Providing expert legal advice regarding laws, rules, and regulations that affect the business.
- Guiding business clients on achieving success while minimizing legal risks.
- Collaborating with the business on key initiatives.
- Identifying and communicating potential legal issues proactively.
