About the Role:
Databricks is on the lookout for a Senior Contracts Negotiator to bolster our expanding Healthcare and Life Sciences (HLS) commercial sector. Reporting directly to the Director and Assistant General Counsel, you will be at the forefront of negotiating and finalizing complex commercial agreements with HLS clients. This includes Master Cloud Services Agreements (MCSAs), Business Associate Agreements (BAAs), Data Privacy Agreements, Non-Disclosure Agreements (NDAs), Statements of Work, and Order Forms, often tackling critical issues related to data privacy, information security, intellectual property, and cutting-edge technologies such as AI.
This role is perfectly suited for an individual who thrives in managing commercial transactions, adeptly navigates intricate contract challenges, and derives satisfaction from finalizing strategic, high-impact deals that propel the business forward in a dynamic, collaborative environment.
What You Will Do:
- Negotiate, draft, and finalize commercial agreements (including MCSAs, Order Forms, and BAAs) with HLS clientele, ensuring adherence to company policies, data privacy standards, information security, and relevant healthcare regulations.
- Assist assigned Attorneys on intricate or strategic transactions and help drive deal execution for key accounts.
- Collaborate with Sales, Finance, Product, and Compliance teams to facilitate revenue-generating transactions while managing legal and commercial risks.
- Oversee and manage incoming contracting requests utilizing Databricks’ contract lifecycle management (CLM) tools, guaranteeing timely review, precise routing, and effective collaboration with cross-functional stakeholders to resolve issues promptly.
- Enhance contracting processes and workflows, contributing to the refinement of templates and HLS-specific playbooks to support scalability and consistency.
- Provide guidance on commercial and operational risks by developing expertise in HLS customer transactions and Databricks’ contracting framework.
- Participate in Legal team OKRs and strategic initiatives, including improvements to contract lifecycle management and cross-functional projects.
