Key Responsibilities:Provide independent counsel and strategic advice to the M&A team on structuring transactions for the acquisition and disposition of renewable energy assets. Draft, review, and negotiate membership interest purchase agreements (MIPAs), asset purchase agreements (APAs), and related documents for renewable energy projects. Identify and assess risks associated with purchase and sale transactions, developing and implementing effective risk mitigation strategies. Collaborate with cross-functional teams, including legal, real estate, project development, M&A, interconnection, and policy, to address matters related to transactions and financing. Enhance the quality and efficiency of tools and processes related to due diligence, negotiation, financing, and closing of renewable energy transactions. Draft and negotiate various commercial agreements, including joint venture agreements, power purchase agreements (PPAs), interconnection agreements, and operation and maintenance agreements.

We are currently searching for a passionate and seasoned Senior Counsel, Transactions to support our project development initiatives and our forthcoming independent power producer (IPP) division. This pivotal position will report directly to the Deputy General Counsel.

Our offices are located in Boston, MA; Lowell, MA; Chicago, IL; Oakland, CA; and Troy, NY. We cherish in-person collaboration and provide a hybrid work model, allowing our employees to work in the office at least two days a week (Tuesday, Wednesday, and Thursday) while enjoying the flexibility to work from home on other days.
