We focus on identifying high-value sites, collaborating with local communities for development, and working alongside long-term asset owners to realize impactful clean energy projects.
We are looking for a dynamic and experienced Senior Counsel, Transactions to support our project development initiatives and our forthcoming independent power producer (IPP) entity. This role reports directly to the Deputy General Counsel.
This position can be based out of our offices in Boston, MA; Lowell, MA; Chicago, IL; Oakland, CA; or Troy, NY. We value collaborative in-person engagement and offer a hybrid work arrangement. Hybrid employees are expected to work in the office at least two days a week (Tuesday, Wednesday, and Thursday) and can choose to work remotely on other days.
Key Responsibilities include:
- Provide independent counsel and strategic advice to the M&A team on structuring transactions for acquiring and disposing of renewable energy assets.
- Draft, review, and negotiate membership interest purchase agreements (MIPAs), asset purchase agreements (APAs), and related documents for renewable energy project acquisitions and dispositions.
- Identify and counsel on risks related to purchase and sale transactions, developing effective risk mitigation strategies.
- Collaborate with cross-functional teams including legal, real estate, project development, M&A, IPP, interconnection, and policy to advise on purchase and sale transactions and financing facilities.
- Design and implement improvements for New Leaf’s tools and processes related to due diligence, negotiation, financing, and closing of renewable energy transactions. Maintain and update template documents and standard operating procedures.
- Negotiate additional commercial agreements such as joint venture agreements, power purchase agreements (PPAs), community solar subscriber agreements, and operation and maintenance agreements.
