Senior M&A Manager - Transform the AEC Industry

Key ResponsibilitiesLead the execution of deals from Letter of Intent (LOI) through to closing, acting as the key coordinator for all diligence and closing activities. Manage financial due diligence including quality of earnings assessments, working capital evaluations, and validation of financial models, collaborating with external accounting advisors as necessary. Oversee legal due diligence and manage relationships with outside counsel, ensuring the timely and accurate preparation of purchase agreements, disclosure documents, and additional legal paperwork. Administer the data room, tracking due diligence requests, organizing findings, and facilitating visibility into ongoing items and potential risks for the deal team. Create and maintain checklists for diligence, deal tracking, and closing procedures to ensure a consistent execution methodology across all transactions. Identify and communicate deal risks, partnering with leadership to develop strategies for mitigation or adjustments to deal terms as necessary. Assist in discussions regarding deal structuring, including allocations of cash, equity, seller notes, earnout arrangements, and working capital mechanisms. Work in conjunction with the Integration Manager to ensure seamless transitions from deal closure to integration, including the transfer of diligence insights.
