About the Role
We are seeking a Commercial Counsel who will focus on commercial contracts and go-to-market negotiations. In this pivotal, high-visibility role, you will provide legal guidance to Sales, Customer Success, Partnerships, and senior leadership on complex agreements with customers and partners. You will manage negotiation strategies for high-stakes deals, establish standard terms, set delegation thresholds, and create efficient, risk-aware contracting workflows.
We are looking for a professional with strong commercial acumen, extensive experience in SaaS/B2B and technology contracting, and the ability to translate legal risks into practical business solutions.
What You’ll Do
- Serve as the primary legal advisor to go-to-market and executive teams on customer and partner agreements, including MSAs, SOWs, and enterprise procurement contracts.
- Lead negotiations for complex, high-value commercial agreements while balancing speed, growth, and legal risk.
- Draft and revise standard templates and negotiation playbooks for Sales and RevOps; manage a delegation matrix and exception approval workflows.
- Oversee service delivery and uptime terms, drafting and negotiating SLAs, SLOs, service credits, incident management, change control, and more.
